We provide our service to you subject to the following Terms and Conditions (“Terms”). By accessing Relationspot, and any other website and/or application operated by us, (each, a “Site”), you are agreeing to comply with and be bound by these Terms. IF YOU COULD BE DEEMED TO LACK REQUISITE MENTAL COMPETENCE UNDER New York LAW, YOU SHALL ONLY USE THE WEBSITE AND/OR APPLICATION OWNED BY US UNDER DIRECTION AND SUPERVISION OF A LEGALLY COMPETENT GUARDIAN THAT ALSO AGREES TO BE BOUND BY THESE TERMS. In addition, when using particular Relationspot services, you are subject to and agree to follow any posted guidelines or rules applicable to such services. All such guidelines and rules are hereby incorporated by this reference. We may refuse to provide or otherwise make available any or all of our services to anyone at any time, in our sole discretion. If you use of the Site or Service in violation of this section, you waive any and all legal rights and remedies otherwise available against Relationspot.

1.2 Adult Users Only

This site is intended for use only by individuals who are over the age of majority. In most jurisdictions, the age of majority is defined as 18 years of age or older, but other ages of majority greater than 18 years of age respective to each jurisdiction shall also apply. This site is also intended for use only by individuals deemed to possess the requisite mental competence discussed above or under the direction and supervision of a legally competent guardian over the age of majority. If you use of the Site or Service in violation of this section, you waive any and all legal rights and remedies otherwise available against Relationspot.

This Site is designed for adults, and is not intended for users under 18 years of age. OUR SITES ARE ESPECIALLY NOT INTENDED TO BE NAVIGATED OR OPERATED BY USERS THAT ARE 13 YEARS OF AGE OR YOUNGER. Products and Services 2.

Through a Site you may establish a user profile, populate the profile with data, post data that is publicly available to users of a Site, interact with users and/or businesses through a Site, conduct commercial transactions, and otherwise interact with a Site. When interacting with third parties through a Site, you agree to and understand that such third parties are acting independently from us. While we promote an inviting and positive community for you to engage with other users, we cannot guarantee and make no warranties as to the qualities of such interactions. Please note that products and/or services offered by a Site, including prices and fees for products and/or services offered, may change from time to time, at our discretion. The prices and fees charged to you will be the prices and fees as set forth on the Site at the time you place your order, render payment, or otherwise engage the Site.

3 Use of Sites.

3.1 Proprietary Rights.

The Sites contain or may contain information, text, photographs, designs, graphics, images, sound and video recordings, animation and other materials and effects (including logos) that are protected by copyrights, trademarks, service marks, issued patents, pending patents, trade dress or other intellectual or proprietary rights owned by us or third parties (the “Content”). Our rights in the Content may statutory and/or based on common law. You acknowledge and agree that these rights belong to their respective owners and are protected in all forms, media and technologies existing now or hereinafter developed. SpectrumPersonals.com and all other of our logos, product, and service names are trademarks of Relationspot (the “Relationspot Marks”). Our Sites are protected via copyright. Without our written permission, you agree not to display or use in any manner the Relationspot Mark. At least part of the technologies used in association with Relationspot may be patented and/or patent pending, the right of which will be strictly enforced. By using or otherwise engaging with a Site, you agree that you have been provided express notices of such intellectual properties.

3.2 No Framing.

You agree not to “frame” or “mirror” any Content or third-party content contained on or accessible from a Site on any other server or Internet-based device without the advance written authorization of Relationspot or its licensors or licensees, respectively.

3.3 Online Conduct.

Your use of a Site is subject to applicable local, state, federal and international law. Your use of a Site in violation of this Section governing Online Conduct could subject you to criminal prosecution and/or personal liability for damages.

You agree not to use a Site or any of the Content for any illegal or harmful purpose. By way of example only, and not as a limitation, you specifically agree not to:

upload, post, e-mail, or otherwise transmit any material that is unlawful, indecent, pornographic, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable;
harm minors in any way;
impersonate any person or entity, including falsely stating or otherwise misrepresenting your affiliation with a person or entity;
forge headers or otherwise manipulate identifiers in order to disguise the origin of any material transmitted through a Site;
upload, post, e-mail or otherwise transmit any material that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

using the website to plan or engage in or to invite or induce others to plan or engage in any illegal activities including, without limitation, underage drinking, unlawful use, sale or distribution of illegal and banned drugs and other substances or pharmaceutical drugs for which the user does not have a current and valid personal prescription from a licensed physician, driving while intoxicated or otherwise under the influence, “stalking” either online or offline, and/or sexual activities by or with persons who have not reached the age of majority (age 18 in most jurisdictions).

3.4 Use of Content.

We grant you permission to access and view each of our Sites and to electronically create profiles and user content submissions for the sole purpose of interacting with users and businesses in a positive and constructive manner. Any other use of the Sites or the Content, in whole or in part, without permission of the applicable rights holder is strictly prohibited, including without limitation: modification, republication, deletion, transmission, public performance, distribution, proxy caching, uploading, posting, reproduction for purposes other than those noted above, or other similar unauthorized exploitation of a Site or the Content. Without limiting the foregoing, unauthorized use of the Content is illegal and could subject you to criminal prosecution as well as personal liability for damages in a civil suit.

Third Party Links, Products and Services 4.

Our products and services may be made available to you through the use of third-party web sites (“Third-Party Portals”). If you accessed a Site through a link from a Third-Party Portal or if a Site provides links to any third-party sites, you agree that we have no control over the content on such sites AND YOU AGREE THAT WE ARE NOT LIABLE FOR THE PRODUCTS AND/OR SERVICES OFFERED ON SUCH THIRD-PARTY SITES. WE ARE NOT RESPONSIBLE FOR AND DO NOT OFFER ANY WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, RELIABILITY OR ANY OTHER ASPECTS OF PRODUCTS OR SERVICES FROM THIRD-PARTIES. YOU RELEASE US FROM ANY DAMAGES THAT YOU INCUR, AND AGREE NOT TO ASSERT ANY CLAIMS AGAINST US ARISING FROM YOUR USE OF PRODUCTS OR SERVICES FROM THIRD-PARTIES.

Scanned Data 5.

5.1 Copyright Policy, Representation and Indemnity.

You are wholly responsible for any data you transmit to the Site (“Scanned Data”), whether such data consists of pictures, art work, text, or other data types, such as audio, video, or multimedia. It is illegal to reproduce or distribute copyrighted material without the permission of the copyright owner. You are responsible for assuring that no Scanned Data you transmit to a Site violates any copyright, and that it complies with Section 3.2 of these Terms. Before transmitting Scanned Data to a Site, you should assure that such Scanned Data is in the public domain and therefore not subject to copyright protection, or that you have the consent of the copyright owner to use the material. By uploading Scanned Data to a Site and/or by submitting Scanned Data for integration into any Relationspot Product for processing, sharing, storage or fulfillment: (i) you grant us a limited, royalty free and non-exclusive license to use, adapt, transmit, transfer, store, copy and display the Scanned Data solely in connection with our providing products and/or services to you; and (ii) you represent and warrant to us that the Scanned Data are in the public domain; or that you have all right, title and interest in and to all copyrights in the Scanned Data, or that you have the express permission to copy and use such Scanned Data for all purposes related to the products you order through the Site. You further represent that the Scanned Data do not violate or infringe upon the proprietary rights (including privacy, moral or publicity rights) of others.

5.2 Scanned Data Content Policy and Acknowledgement; Compliance with Law.

You may not upload to a Site any material that (a) infringes any copyright, trademark, right of privacy, right of publicity, or any other right of a third party; or (b) is unlawful, threatening, abusive, libelous, defamatory, obscene, pornographic, profane or offensive to the community or to any reasonable segment thereof. (Material of the type described in clauses (a) and (b) is referred to, collectively, as “Inappropriate Content”).

The content of the Scanned Data you submit is governed by applicable laws (including laws which prohibit copyright and trademark infringement, obscenity, pornography, child pornography, or child abuse). We have no obligation to monitor the Scanned Data. However, we and our licensees, suppliers, fulfillers, Retailers and Third-Party Portals offering products through a Site (collectively, “Merchants”) reserve the right at all times to review the Scanned Data, to disclose the Scanned Data as necessary to satisfy any laws, regulations or government requests and to report any potential violations of law to law enforcement authorities, to refuse to post or transmit the Scanned Data, to remove the Scanned Data, and to refuse to perform any orders for processing or fulfillment for Scanned Data, that are, in our sole judgment and discretion, (or in the sole judgment and discretion of any of the entities described above), objectionable or in violation of these Terms. In the event that you submit Scanned Data to a Site for to describe or comment on a business or Merchant, and the business or Merchant to which the Scanned Data is directed believes includes contains Inappropriate Content, the business Merchant may reserve the right to have the content removed, refuse to honor promotions directed to the user, or otherwise refuse to engage in commercial relationships with the user, both within the context of a Site and in commercial transactions outside of a Site.

5.3 Copyright Agent

We respect the rights of copyright holders. Should a copyright holder learn that his or her copyrighted material is posted to a Site, we have established a termination procedure for such unauthorized publication. If a copyright holder believe that a work of yours has been copied on a Site in a way that constitutes copyright infringement, please provide our Copyright Agent the following information required in a written communication by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act, 17 U.S.C. 512:

A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material;
Information reasonably sufficient to permit the service provider to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;

5.4 Respect for Reputation.

In addition, in the event you violate these Terms and you intentionally publicize such violation, you acknowledge that we and our affiliated companies will suffer substantial damage to its reputation and goodwill and that you can be liable for causing such substantial damage.

Furthermore, you agree to refrain from using the services offered through a Site, including submitting data to or otherwise interacting with Relationspot, in any manner that would cause damage to the public reputation of Relationspot, affiliated companies, and their employees, shareholders, board members, Merchants, or third parties for which we provide services. In the event that you use or publicly display any services offered through the Site, including by display on the Internet, in order to intentionally bring harm to us or any of our affiliated companies or their employees, or shareholders, or board members, or to owners or operators of Third-Party Portals, or Merchants, we reserve the right to demand the immediate removal of such display and/or revocation of the Relationspot Product(s) and/or services ordered from a Site, to invalidate, without refund, the value of any promotion or credit included in such Relationspot Products, and to pursue any and all further remedies available to us and/or our affiliated companies under the law.

5.5 Indemnification.

You agree to indemnify us and hold us and our licensees, suppliers and fulfillers, owners and operators of Third-Party Portals and Merchants, harmless from and against any and all losses, damages, costs or expenses, including reasonable attorneys’ fees, arising out of (a) any claim by a third party that the Scanned Data (or the use thereof) constitutes an infringement or other violation of such third party’s trademark, copyright, intellectual property rights or other rights; or (b) your use of any Inappropriate Content; or (c) any violation of law by you; or (d) any acts prohibited under Section 3.3. Your obligation to indemnify and hold us harmless shall survive any expiration and termination of these Terms.

Limitation and Disclaimer of Warranties; Limitation of Liability 6.

You agree that in the event of any damage to or loss of any Relationspot Product, promotions, and/or services by us or any of our Merchants, even through negligence or other fault, our sole obligation (and the sole obligation of our licensees, suppliers, fulfillers, owners, and operators of Third-Party Portals and Merchants), and your sole remedy, is at our option, to replace the lost or damaged Relationspot Product(s), promotions, and/or services, or provide you with a refund or credit, or provide you with comparable product and/or service, for the cost of the purchase price for lost or damaged Relationspot Product(s). You must submit a claim within thirty (30) days of the damage or loss.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL OTHER WARRANTIES (INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY AND NON-INFRINGEMENT) ARE EXPRESSLY DISCLAIMED. ALL SITES, CONTENT, AND THE PRODUCTS AND SERVICES AVAILABLE THROUGH THE SITES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS. NEITHER Relationspot NOR ANY OF AFFILIATED COMPANIES, NOR ANY OF THEIR LICENSEES, SUPPLIERS, FULFILLERS, OWNERS AND OPERATORS OF THIRD-PARTY PORTALS OR MERCHANTS MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE QUALITY, ACCURACY, OR AVAILABILITY OF ANY SITES. THE FOREGOING DISCLAIMER INCLUDES, WITHOUT LIMITATION, A DISCLAIMER OF ANY WARRANTY OR REPRESENTATION THAT THE SITES WILL BE UNINTERRUPTED, RELIABLE, SECURE OR ERROR FREE, OR THAT THE SITES OR OUR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT THE SITES WILL OTHERWISE MEET YOUR EXPECTATIONS. WE WILL NOT BE LIABLE FOR ANY DAMAGES, DIRECT, INDIRECT, INCIDENTAL AND/OR CONSEQUENTIAL, ARISING OUT OF THE USE OF THE SITES, INCLUDING, WITHOUT LIMITATION, DAMAGES ARISING OUT OF COMMUNICATING OR MEETING WITH OTHER MEMBERS OF THE SERVICE, INDIVIDUALS INTRODUCED TO YOU VIA THE SITES, OR OTHER PERSONS OR ENTITIES INTRODUCED VIA THE SITES. SUCH DAMAGES WAIVED BY YOU INCLUDE, WITHOUT LIMITATION, PHYSICAL DAMAGES, BODILY INJURY AND OR EMOTIONAL DISTRESS AND DISCOMFORT.

Under no circumstances shall we or our Merchants be liable for damages of any kind, under any legal theory arising out of or in connection with your use of, inability to use, any Site, any Content, or any products or services offered through a Site, including any direct, indirect, incidental, special or consequential damages (including but not limited to damages for loss of profits, use, data or other intangibles) even if we or our Merchants have been advised of the possibility of such damages. Without limiting the foregoing, this disclaimer of liability applies to any loss or damage arising out of the customization, processing, storage or fulfillment of any material, Relationspot Product, or Scanned Data, the inability to use a Site, any changes to a Site (or its products and/or services), or the unauthorized access to or alteration of your transmissions or data. Some jurisdictions do not allow the limitation or exclusion of incidental, consequential or other types of damages, so some of the foregoing limitations may not apply to you.

Termination of Right to Use a Site 7.

We reserve the right to terminate your right to use one or more Site if you violate any of these Terms or if your account has been inactive for more than one year. Upon termination of your right to use one or more Sites, we will remove your account privileges. We will have no obligation to return to you your Scanned Data. The disclaimers and limitations of liabilities set forth in these Terms shall survive any such termination. Your sole recourse and remedy if Relationspot terminates your right to use a Site, is to receive a refund for any products paid for but not yet processed or fulfilled by Relationspot, if applicable.

Privacy and Security 8.

We will protect and use information provided by you as set forth herein and/or in the Privacy Policy posted on each Site, if provided, as applicable. You agree not to violate or attempt to violate the security of any Site, including without limitation, (a) accessing data that is not intended for your use; (b) logging on to a server or account that you are not authorized to access; (c) probing, scanning or testing the vulnerability of any system or network related in any way to a Site without proper authorization; (d) breaching security or authentication measures without proper authorization; (e) interfering with service to any host, network, other user, including without limitation, sending unsolicited e-mail, flooding, spamming, mailbombing, or crashing; (f) sending promotions and/or advertising products and/or services; or (g) attempting to do any of the preceding.

You understand that your account information on the Sites is controlled by you, through the User IDs and Passwords that you selected. You are responsible for protecting the confidentiality of those User IDs and Passwords. We are entitled to rely on the fact that any Scanned Data, orders for products or other information sent to any Site under your User ID and Password for that Site were sent by you. If you believe that the confidentiality of any of your User IDs and/or Passwords has been compromised or that someone has accessed your account without authorization, you should contact us immediately.

Some products and/or services offered by a Site may have cash value and should be safeguarded accordingly. Ownership and risk of loss of these products and/or services passes to the purchaser upon our electronic transmission to the purchaser, recipient or delivery to the carrier, whichever is applicable. We are not responsible for any lost or stolen products and/or services, except as may be required by law. We may, in our sole discretion, replace or cancel lost or stolen products and/or services with proof of purchase acceptable to us.

We have no obligation to review use of products, services, or promotions offered by us, or by a third party, using a Site or recipient information for fraud, theft or similar bad act. But, if we determine that a theft or misappropriation has occurred, we reserve the right to notify the Retailer or business and/or deactivate such product, service, or promotion until such time as the matter is resolved.

If we receive information, which we believe to be reliable, that a product, service, or promotion has been stolen, misappropriated, or otherwise misused, we may similarly take such action. However, we are not obligated to take such action unless required by law. In deactivating any such product, service, or promotion, we reserve the right to take action on such as requested by the Retailer, but we are under no obligation to do so. We also have no obligation to return any funds depleted from a product, service, or promotion as a result of fraud, misappropriation, theft, or otherwise. Your use of any Site and/or purchase or use of any product, service, or promotion shall constitute your release of us from and as a result of any act or omission by us in reliance upon instruction or information from the Retailer.

Applicable Law 9.

These Sites are controlled by Relationspot from offices within the State of New York, United States of America. Because the Sites can be accessed from any jurisdiction in the world, and each of these places has laws that may differ from those of the United States and/or the state of New York, by accessing a Site both you and Relationspot agree that the statutes and laws of the state of New York, without regard to its conflict of laws principles, will apply to all matters relating to use of such Site and its contents. Relationspot makes no representation that the Contents are appropriate or will be available for use in any specific jurisdiction. If you use a Site from outside of the United States, you assume full responsibility for complying with applicable local laws, including but not limited to the export and import regulations of other countries in relation to the Content and the third party content. Unless otherwise explicitly stated on a Site, all marketing or promotional materials located on a Site are solely directed to, and for use by, persons and entities located in the United States. You and Relationspot further agree to submit to the exclusive personal jurisdiction and venue of the state courts of the state of New York County (i.e. Manhattan), which is the Southern District of New York and the federal courts of the United States located in the Southern District of the State of New York with respect to any matters relating to the services, the use of a Site and/or its Contents, or any transactions arising therefrom. You further agree that any action brought by you with respect to anything related to a Site, including without limitation any transaction conducted on or through a Site, must be brought, if at all, within one (1) year from the accrual of such cause of action.

The Site is designed with knowledge that the Site may be used by one or more person with varying levels of legal mental capacity, as defined by New York law, New York County which is the Southern District of New York You agree that if you could be determined to lack capacity under New York law, including under the analysis described in the above stated section, that you will only operate and use the Site under direction and supervision of a legally competent guardian. Such guardians agree to be bound as described in these Terms.

Miscellaneous 10.

For purposes of these Terms, the terms “Relationspot,” “we”, “us,” and “our” includes, without limitation, Relationspot and related companies, affiliates and subsidiaries. We may assign our rights and responsibilities hereunder without notice to you. If any of these Terms are held invalid or unenforceable, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision most closely matching the intent of the original provision and the remainder of the Terms will continue in effect. We reserve the right to amend or modify these Terms or impose new conditions at any time in our discretion. Such amendments and modifications will be effective immediately upon giving you notice by any means including, but not limited to, mere posting of updated Terms on an applicable Site. These Terms constitute the entire agreement between you and us with respect to the subject matter hereof and supersede all other communications, written or oral, with regard to any Site.

The failure of Relationspot to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Relationspot in writing. Your use of a Site, however, is subject to the additional disclaimers and caveats that may appear throughout such Site.

Payment 12.

The payment terms displayed on our Service are part of these Terms of Use and govern all Services offered. RELATIONSPOT reserves the right to determine the price of the Service. RELATIONSPOT makes an effort to provide current information regarding all products and services, however the prices are subject to change.

You agree that RELATIONSPOT or its affiliates will charge the card you have on file with RELATIONSPOT to cover the full costs of the Products or Services ordered from an affiliate and any additional fees charged by RELATIONSPOT in connection with the order, any goods, or services provided by RELATIONSPOT. Your card will be charged for the cost of the Products, purchased by you and any applicable fees, taxes and/or tips arising in connection with each order for any Products or Services you agree to purchase. Your card may be temporarily authorized for an amount greater than the total amount of the order appearing during check-out. This higher amount will be disclosed during the purchase price and the final amount will be disclosed during the purchase process and is a temporary authorization charge on your order, to account for situations where your total purchase is larger than the specified amount due to specific requests, added items, replacement items and weight adjustments.

RELATIONSPOT reserves the right to suspend or terminate access to the Service for any account for which any amount is due but unpaid. A delinquent account will be charged with fees including but not limited to interest, collection fees, or fees associated with late payments.

Communication 13.

Registration data and other personally identifiable information the Site may collect is subject to the terms of RELATIONSPOT’s Privacy Policy.

By using the Services, you consent to receiving certain electronic communications and that RELATIONSPOT and the affiliates may contact you through text (SMS) messages at the phone number you provide. The messages may include marketing messages or operational messages concerning the Services. Text messages may be sent using automatic telephone dialing systems and standard data and messaging rates may apply as specified by your carrier. If you wish to opt out of all messages from RELATIONSPOT, you can email contact@RelationSpot.com. You may continue to receive text messages for a short period of time while we process your request.

13.2 When you use our app or your mobile device, you agree to receive push notifications which are messages the app sends you while the app is not active. You can turn off notifications from the “Settings” page on your mobile device.

13.3 RELATIONSPOT may send emails concerning our products and services and the services of third parties. You may opt out of promotional emails by following the unsubscribe directions found in the promotional email.

Cancellation and Termination 14.

The Terms are affective upon accepting these Terms or when you download, install, access or use the Service.

1. You may cancel your Service at anytime by emailing us at [contact@RelationSpot.com]. Once cancellation is confirmed, all of your account details and any individually purchased content will remain in your Account.
2. To completely delete your Account, email [contact@RelationSpot.com]. Since deletion of all data is final, please be sure that you do in fact want to cancel your Account before doing so.
3. Without limiting any other remedies, RELATIONSPOT may suspend or terminate your Account if it suspects that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the Service, as well as for any other reason referenced in the Terms of Use.
4. If you violate any provisions of these Terms, your authorization to access the Service and these Terms automatically terminate. RELATIONSPOT may, at its sole discretion, terminate these Terms or your account on the Service.
5. Upon termination of these Terms, your license rights will terminate and you must immediately cease all use of the Service, you will no longer be authorized to access your account or Service; you must pay RELATIONSPOT any unpaid amount that was due prior to termination and; all payment obligations accrued prior to termination will survive.

License 15.

Subject to your compliance with these Terms, RELATIONSPOT grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to: (i) access and use the Site and App on your personal device solely in connection with your use of the Service; and (ii) access and use any content, information and related materials that may be made available through the Service, in each case solely for your personal, noncommercial use.

Any rights not expressly granted herein are reserved by RELATIONSPOT and its licensors. Indicatively, but not by way of limitation, you are not allowed to use, copy, distribute, edit or adjust any part of the Site or the App or any material provided by RELATIONSPOT in connection with the provision of the Services. Further, you are not allowed to use in any way any of RELATIONSPOT’s intellectual property, including, trademarks, service marks, trade names, trade dress, software, copyrights, designs, patents, and associated rights.
You do not have any right to reproduce or distribute any of RELATIONSPOT’s intellectual property including but not limited to trademarks, service marks, trade names, trade dress, software, copyrights, designs, or patents without our permission, and if you do so you may be subject to fines, or any other penalties allowed by the civil and criminal laws of the relevant jurisdiction. You may not:
- reverse-engineer or otherwise try to derive source code from the Software, unless allowed by law;
- adapt or modify the Software or create derivative works based on the Software;

- publish, copy, sell, lend, rent, sublease, assign or in any other way transfer the Software to anyone else;

- exploit the Software for commercial purposes;
- attempt to circumvent technical protection measures in the Software;
- use Software to violate the law; or

- engage in any activity that interferes with anyone else’s use of the Software.

RELATIONSPOT’s RIGHTS

RELATIONSPOT reserves the right to:

interrupt, modify or terminate the Service for any reason, without notice at any time;
refuse service to anyone for any reason at any time;
deactivate user accounts of users whose conduct or content is, in RELATIONSPOT’s sole discretion, unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or that violates any party’s intellectual property or these Terms of Service (or alternatively, remove any such User Content);
ban any user from using the Service for any reason, including, but not limited to, a member who is the subject of repeated DMCA notifications;
remove any User Content that, in RELATIONSPOT’s opinion, violates these Terms or is in any way harmful or objectionable;

Intellectual Property Rights 16.

You acknowledge and agree that the Service may contain features that are protected by trademark, copyright, patent, trade secret or other proprietary rights and laws. Except as authorized by RELATIONSPOT, you agree not to copy, reproduce, transmit, rent, lease, scrape, sell, distribute and create any derivative works based on the Service in whole and in part.

Modifications to the Services and Prices 17.

Prices for RELATIONSPOT services are subject to change. Please make sure to check the Site and App for the most updated pricing information. RELATIONSPOT shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service. RELATIONSPOT reserves the right to modify or discontinue any and all portions of the Site without or with providing notice to you. RELATIONSPOT cannot be held liable for exercising this right. You acknowledge and accept that RELATIONSPOT does not guarantee continuous and uninterrupted service and by using the site, you understand that RELATIONSPOT does not maintain that your access to the site will not be uninterrupted or error free. You consent that your access to the site may be interfered with by a number of factors outside the control of RELATIONSPOT.

Governing Law 18.

These Terms of Use shall be governed by the laws of the State of New York, without respect to its conflict of laws principles. The exclusive place of jurisdiction for all disputes arising from or in connection with this agreement is New York County, New York, or the United States District Court for the Southern District of New York and our dispute will be determined under New York law.

Updating These Terms 19.

We may revise these Terms of Use from time to time and the most current version will always be posted on our website. If a revision, in our discretion, is material, we will notify you through our Service. Then, if you continue to use the Service, you will be bound by the updated Terms. If you do not want to agree to these or any updated Terms, you should delete your account.
